These terms govern your use of acmemeridian.com and set the baseline for any dealings with Acme Meridian LLC. If we go on to work together, a separate signed agreement will take precedence over anything written here.

1. Acceptance

By accessing this website you agree to these terms. If you do not agree with them, please stop using the site. "We", "us" and "Acme Meridian" mean Acme Meridian LLC, a limited liability company registered in the State of Wyoming, United States.

2. Use of this site

The site is provided for information about our company and our services. You agree not to attempt to gain unauthorised access to it, interfere with its operation, scrape it at a volume that degrades service for others, or use it for anything unlawful.

3. Intellectual property

The design, text, code, logotype and the AM monogram on this site are owned by Acme Meridian LLC and protected by copyright and trademark law. "Acme Meridian" and the monogram are our trademarks. You may not copy, reproduce or reuse them without written permission, other than brief quotation with attribution and normal browser caching.

4. Client services

Nothing on this site is an offer capable of acceptance, a quotation, or a commitment to perform work. Engagements begin only when both parties sign a written agreement — typically a statement of work covering scope, deliverables, timeline, fees, payment terms, confidentiality and intellectual property. Where that agreement conflicts with these terms, the agreement wins. We act as an independent contractor; nothing creates an employment, partnership, joint venture or agency relationship.

5. Deliverables and ownership

Unless a signed agreement says otherwise: intellectual property in bespoke deliverables transfers to the client on receipt of payment in full. Until then we retain all rights. We keep ownership of our pre-existing tools, libraries, frameworks and know-how, and grant the client a perpetual, non-exclusive licence to use those components as embedded in the deliverables. Third-party and open-source components remain subject to their own licences, which we will identify.

6. No professional advice

Content on this site is general information about software and technology. It is not legal, financial, tax, accounting or regulatory advice, and it should not be relied on as a substitute for advice from a qualified professional in your jurisdiction.

We link to sites we do not control, including products we have built for clients. We are not responsible for their content, availability, security or privacy practices, and a link is not an endorsement.

8. Disclaimer of warranties

This website is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or that the site will be uninterrupted, timely, secure or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this clause may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, Acme Meridian LLC and its members, officers and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, business or goodwill, arising out of or relating to your use of this website — even if we have been advised of the possibility.

Our total aggregate liability arising out of your use of this website is limited to the total amount you have paid us, if any, for access to it. Liability arising from a client engagement is governed by the signed agreement for that engagement. Nothing in these terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

10. Indemnity

You agree to indemnify and hold harmless Acme Meridian LLC against claims, damages, losses and reasonable legal costs arising from your breach of these terms or your unlawful use of this site.

11. Governing law and venue

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of these terms, and you consent to that venue. If you are a consumer resident in the EEA or the UK, this clause does not deprive you of the protection of mandatory provisions of your local law.

If any provision of these terms is held unenforceable, the rest remains in force.

12. Changes

We may update these terms. The version published here, with the date at the top, is the one that applies. Continued use of the site after a change means you accept it.
